Términos de Uso

Los presentes Términos de uso (en adelante, “los Términos de Uso”) rigen las condiciones bajo las cuales se ofrece a los usuarios el acceso y/o utilización de los contenidos y servicios ofrecidos a través del sitio weboleista.com (en adelante, la “web”) consistente en una plataforma para promover operaciones de compraventa de aceite de oliva virgen y aceite de oliva virgen extra entre demandantes y oferentes de estos productos que se encuentren registrados como usuario en la web mediante la publicación de ofertas de venta de lotes concretos de aceite de oliva, haciendo la plataforma la función de intermediario entre oferentes y demandantes de los productos. En adelante, a la referida plataforma y a los servicios prestados por la misma se le denominará OLEISTA.

El acceso a y/o uso de Oleista y, en su caso, el registro del Usuario en la plataforma es totalmente voluntario y atribuye a quien lo realiza la condición de Usuario. Todo Usuario acepta, desde el mismo momento en el que accede, sin ningún tipo de reserva, el contenido de los presentesTérminos de Uso, laPolítica de Privacidad, laPolítica de Cookies así como, en su caso, las condiciones particulares que puedan complementarlas, sustituirlas o modificarlas en algún sentido en relación con los servicios y contenidos del Sitio Web y las condiciones generales de los contratos de compraventa de aceite de oliva a las que se someten las operaciones concertadas a través de la plataforma. En consecuencia, el Usuario deberá leer detenidamente unas y otras antes del acceso y de utilización de cualquier servicio de Oleista (publicación de ofertas de venta, propuestas de compra, formalización de operaciones de compraventa), todo ello bajo su entera responsabilidad. El Usuario puede acceder, imprimir, descargar y guardar los términos de uso en todo momento. Estas Condiciones estarán permanentemente accesibles en el Sitio Web a través del enlace a losTérminos y Condiciones.

La utilización de Oleista implica la plena aceptación de las disposiciones incluidas en los presentes Términos de Uso en la versión publicada en el Sitio Web en el momento en que el Usuario acceda al mismo. Asimismo pone en conocimiento de los Usuarios de Oleista que estos términos de uso pueden ser modificados sin notificación previa. En consecuencia, el Usuario debe leer atentamente el presente Aviso Legal en cada una de las ocasiones en que se proceda a utilizar Oleista, ya que aquél puede sufrir modificaciones.

Asimismo Oleista,se reserva la posibilidad de modificar sin previo aviso, el diseño, presentación y/o configuración de este Sitio Web, así como algunos o todos los servicios, y añadir servicios nuevos. En cualquier caso, Oleista, se reserva el derecho de, en cualquier momento y sin necesidad de previo aviso, denegar el acceso a este sitio a aquellos Usuarios registrados que incumplan cualesquiera de estas condiciones generales de uso o de las particulares que les sean de aplicación y, en particular, a aquellos que hayan incumplido las obligaciones derivadas de cualquier operación concertada a través de la plataforma sin causa justificada o hayan incumplido las obligaciones de pago por los servicios de intermediación prestados por la plataforma o cualquier otro servicio prestado a través de la misma (publicidad).

La utilización de ciertos servicios ofrecidos a los Usuarios a través de Oleista puede encontrarse sometida al previo registro de los mismos mediante la cumplimentación del correspondiente registro de usuario, seleccionando el identificador y la contraseña que el usuario se compromete a conservar y a usar con la diligencia debida. A los efectos de los presentes Términos de Uso se entenderá por “Usuario Registrado” todo aquel usuario que haya cumplimentado el correspondiente registro de usuario en Oleista, pudiendo acceder a los servicios bajo registro que ofrece Oleista. En todo caso, para la publicación de ofertas de venta de lotes de aceite de oliva y para la oferta de compra de lotes publicados será imprescindible ser Usuario Registrado.

El uso de la contraseña del Usuario Registrado es personal e intransferible, no estando permitida la cesión, ni siquiera temporal, a terceros. En tal sentido, el Usuario Registrado deberá adoptar las medidas necesarias para la custodia de la contraseña por él seleccionada, evitando el uso de la misma por terceros. En consecuencia, el Usuario Registrado es el único responsable de la utilización que, de su contraseña se realice, con completa indemnidad para Oleista. En el supuesto de que el Usuario Registrado conozca o sospeche del uso de su contraseña por terceros deberá poner tal circunstancia en conocimiento de Oleista a la mayor brevedad a fin de que adopte las medidas oportunas.

El registro de los Usuarios para el uso de los servicios de promoción de operaciones de compraventa de aceite de oliva a granel conlleva la aceptación íntegra de estos Términos de Uso por quien lo realiza (en adelante, “el Usuario Registrado”). En caso de no estar de acuerdo con todo o parte de estos Términos de Uso, el Usuario debe abstenerse de utilizar el Servicio.

La aceptación de los presentes Términos de Uso para los Usuarios Registrados implica que el Usuario
(i) ha leído entiende y comprende lo aquí expuesto,
(ii) asume las obligaciones aquí dispuestas,
(iii) es mayor de edad y
(iv) tiene la capacidad legal suficiente para utilizar el Servicio,
(v) en caso de ser persona jurídica, estará representada por persona con poder bastante para la formalización de las operaciones promovidas a través de la plataforma.

La aceptación de los presentes Términos de Uso por parte del Usuario Registrado será un paso previo e indispensable para el registro del Usuario y, en consecuencia, para la utilización de los servicios ofrecidos por Oleista.

El titular del Servicio se reserva la facultad de realizar, en cualquier momento, cualquier modificación o actualización de los Términos de Uso de los servicios ofrecidos a los Usuarios Registrados que, una vez entren en vigor, deberá ser aceptada por el Usuario para seguir usando el servicio.

Cualquier duda relativa los presentes Términos de Uso y/o al propio funcionamiento del servicio podrá ser aclarada al Usuario realizando la pertinente consulta al titular del servicio a través de la siguiente dirección de correo electrónico admin@oleista.com

1. Titular del Servicio

El titular y propietario del servicio y la plataforma es OLEISTA, S.L. provista de CIF B-72897705 y con domicilio en Córdoba, Avda. Gran Capitán, nº 41, 1º -D.

2. Condiciones de acceso, uso y registro

Para el uso de los servicios de la plataforma Oleista distintos de la consulta del directorio de empresas adheridas, lectura de artículos publicados en el blog, visualización de publicidad y la mera visita a la página sin propósito comercial, será necesario el previo registro del Usuario y la aceptación expresa por parte de éste de los presentes Términos de Uso, de la Política de Privacidad y de la Política de Cookies. El registro del Usuario en el Servicio será gratuito y no se encuentra condicionado a la realización de ofertas de venta y/o compra y a la formalización de ninguna operación por parte del Usuario.

Al realizar el registro en la plataforma Oleista, el Usuario obtendrá su “nombre de usuario” y “contraseña” que serán propuestos por el Usuario y validados por la plataforma. El nombre de usuario y la contraseña se mantendrán en secreto y servirán para verificar la identidad del Usuario permitiéndose el acceso a la plataforma y sus servicios.

Los datos introducidos por el Usuario deberán ser exactos, actuales y veraces. El Usuario será responsable de la custodia de su nombre de usuario y contraseña, asumiendo los daños y perjuicios que pudieran derivarse de su uso indebido, cesión, revelación o extravío de la misma. No obstante lo anterior, el Usuario deberá informar inmediatamente a Oleista en el supuesto de que tenga motivos para creer que su contraseña se ha utilizado de forma no autorizada o pudiera serlo a fin de adoptar las medidas oportunas. Dicha comunicación se realizará por correo electrónico a la dirección de correo admin@oleista.com

El Usuario se compromete a utilizar el servicio conforme a la ley, la moral, el orden público y los presentes Términos de Uso, absteniéndose de emplearlo para realizar actividades ilícitas, que atenten contra los derechos de terceros o infrinjan cualquier norma del ordenamiento jurídico.

A título enunciativo, el Usuario se compromete a:

No difundir, transmitir o poner a disposición de terceros cualquier tipo de información, elemento o contenido que constituya publicidad ilícita o desleal.
No introducir cualquier información falsa, engañosa e inexacta de forma que induzca a error a los receptores.
No suplantar a otro Usuario del Servicio ni transmitir los datos de acceso a la cuenta ni la contraseña a un tercero.

La infracción de las normas contenidas en los presentes Términos de Uso dará lugar a la baja automática, al menos provisional, del Usuario en la plataforma.

Mediante la aceptación de los Términos de Uso, el Usuario consiente que sus datos pasen a formar parte del fichero de Oleista y el tratamiento de esos datos será conforme a lo previsto en la Política de Privacidad.

3.- Ofertas de venta de aceite de oliva

Los Usuarios registrados podrán publicar ofertas de venta de lotes de aceite de oliva (granel o envasado) virgen, virgen extra o lampante en la plataforma mediante la cumplimentación del correspondiente formulario que se contiene en la web.

Una vez completado y enviado el formulario con los datos de la oferta de venta, Oleista revisará la información contenida en el mismo y, en su caso, contactará con el Usuario registrado oferente para completar la información que deba contener la oferta. En todo caso, la oferta será publicada en la plataforma dentro de las veinticuatro (24) horas siguientes al envío del formulario, sin contar, en todo caso, los sábados, domingos y festivos.

La oferta de venta se publicará con toda la información ofrecida por el Usuario Registrado oferente quien será, en todo caso, el responsable de los datos contenidos en la información relativa a la oferta. Oleista queda eximido de responsabilidad alguna respeto de la falsedad y/o inexactitud de los datos contenidos la oferta.

En este sentido, el Usuario se obliga a que los datos relativos a las características de los lotes de aceite de oliva ofertadas sean veraces y exactos.

En la publicación de la oferta se omitirá el nombre, razón social o cualquier dato que permita identificar la identidad del oferente.

4. Proceso de las operaciones de compraventa de lotes de aceite de oliva

Una vez publicada la oferta y, en su caso, tras la obtención de muestras conforme a lo previsto en el siguiente apartado 5, los Usuarios podrán hacer ofertas de compra respecto de la oferta publicada.

Ambos usuarios, el demandante y el oferente, permanecerán en todo momento anónimos hasta que acuerden un precio final y condiciones de compraventa.
Una vez que ambos usuarios han llegado a un acuerdo sobre el precio final y las condiciones de compraventa, se les mostrará la identidad de la otra parte antes de firmar el acuerdo.
La identidad de los usuarios será tratada de forma confidencial y no se compartirá con terceros sin el consentimiento explícito de los usuarios.

Una vez recibida una oferta de compra para un lote de aceite de oliva publicado en la plataforma, el Usuario oferente podrá aceptar o rechazar la oferta de compra del Usuario demandante. En caso de rechazo, que podrá ser motivado por el Usuario oferente, el Usuario demandante podrá realizar una contraoferta que podrá ser aceptada o rechazada por el Usuario Oferente. En caso de rechazo de la contraoferta, el Usuario demandante no podrá realizar ninguna otra contraoferta en relación al mismo lote de aceite de oliva ofertada.

Cuando el oferente reciba una oferta de compra y ésta no haya sido respondida en un plazo de 48 horas, Oleista desactivará el lote de la venta. El oferente podrá activar nuevamente el lote.

En caso de aceptación de la oferta o de la contraoferta, en su caso, la plataforma remitirá al Usuario demandante una notificación de la aceptación de confirmación de la oferta o la contraoferta, en su caso.

En el caso de que el Usuario Oferente y el Usuario Demandante estuvieren conformes con los términos de la eventual oferta o contraoferta, en su caso, ambas partes formalizarán el contrato de compraventa con las condiciones particulares pactadas y sometido a lascondiciones generales publicadas en OLEISTA

El contrato de compraventa con sus condiciones particulares y generales se firmará por las partes de forma telemática.

Salvo pacto en contra de las partes en las condiciones generales del contrato, el aceite de oliva objeto del contrato será recogido por el Comprador en las instalaciones del Vendedor o, en las que, en su caso, éste indique, en un plazo máximo de veinte (20) días naturales a contar desde la formalización del contrato.

Una vez formalizado el contrato, el oferente emitirá la factura de la operación de compraventa y será remitida al demandante que deberá satisfacer el importe consignado en la misma (precio más el IVA correspondiente) dentro del plazo pactado entre las partes. Salvo pacto en contra de las partes, el precio de la compraventa será satisfecho mediante transferencia bancaria OMF dentro del plazo establecido para la recogida del aceite, sin que éste pueda ser retirado hasta que el Vendedor compruebe la recepción del pago del precio.

5.- Gestión de muestras

Con carácter previo a la formulación de una eventual oferta o, en su caso, una contraoferta, el Usuario Demandante podrá solicitar a través de Oleista el envío de una muestra del aceite de oliva ofertado por el Usuario Oferente.

El servicio de gestión de muestras tendrá un precio de diez euros (10,00 €) más IVA por muestra y será satisfecho a Oleista con la solicitud de la muestra a través de la propia plataforma. Oleista no prestará el servicio de gestión de muestras hasta el pago efectivo del servicio por parte del Usuario Demandante. Una vez satisfecho el coste del servicio de gestión de muestras, la Plataforma realizará el envío de las muestras que previamente habrá recibido por parte del oferente. El oferente, tras la puesta de su lote de aceite en venta, vendrá obligado a realizar el envío a Oleista de una muestra inicial de 2 litros, para que Oleista pueda activar la posibilidad de que los compradores soliciten muestras. El oferente deberá hacerse cargo de los costes de transporte, aduanas, y otros gastos administrativos derivados el envío de muestras hasta que éstas lleguen a la oficina de Oleista S.L. Oleista adelantaré el pago de este servicio, previa autorización del oferente , y posteriormente emitirá la factura correspondiente a éste.

La obtención de muestras por parte del Usuario Demandante conforme a lo establecido anteriormente no generará obligación o vínculo alguno para el Usuario Demandante, de forma que éste será libre para realizar una oferta, en su caso, contraoferta en los términos que tenga por conveniente atendiendo a su criterio respecto de las características reales del aceite de oliva ofertado.

7.- Comisión de intermediación

OLEISTA ofrece una estructura de comisiones simple y transparente para todos nuestros usuarios. Esta comisión se aplica exclusivamente a las operaciones cerradas con éxito a través de nuestra plataforma, de acuerdo con la siguiente tabla de comisiones:

El hito que da lugar al devengo de la comisión por intermediación que se reconoce por los usuarios a favor de Oleista es la formalización del oportuno contrato de compraventa de aceite de oliva, siendo completamente ajeno e independiente a la obligación de pago, el eventual incumplimiento de las obligaciones asumidas por cualquiera de las partes del contrato de compraventa, el cual en nada afectará al derecho de Oleista a recibir del comprador y el vendedor la comisión pactada en los términos recogidos en el presente apartados.

Oleista emitirá y remitirá al vendedor y al comprador la correspondiente factura por el importe correspondiente dentro de los diez (10) días siguientes a la fecha de formalización del contrato de compraventa. La factura deberá abonarse en un plazo máximo de quince (15) días hábiles a contar desde la fecha de envío.

El cálculo de la comisión de Oleista se realizará exclusivamente con base en las cantidades indicadas en el contrato de intermediación firmado en la plataforma, sin tener en cuenta discrepancias que pudieran ocurrir en la carga o recogida.

8.- Funciones y responsabilidad de Oleista

Oleista se encargará de
(i) gestionar el sitio web,
(ii) gestionar la plataforma de promoción de operaciones de compraventa de aceite de oliva,
(iii) de la prestación del servicio de gestión de muestras,
(iv) de la preparación de las condiciones particulares y generales de los contratos de compraventa de aceite de oliva.

Como retribución de estos servicios, Oleista tendrá derecho a la comisión de intermediación regulada en el apartado 7 anterior, la cual es reconocida por los usuarios y tendrá derecho a su cobro en las condiciones establecidas.

Oleista es únicamente una plataforma que presta los servicios antes indicados y que se corresponden con la labores propias de intermediación en operaciones de compraventa de aceite de oliva, careciendo de responsabilidad alguna sobre
(i) los términos y condiciones de las operaciones de compraventa de aceite de oliva promovidas a través de la plataforma,
(ii) el cumplimiento defectuoso o el incumplimiento de las obligaciones asumidas por las partes del contrato de compraventa de aceite de oliva y
(iii) la titularidad y características del aceite de oliva ofertado por los usuarios a través de la plataforma, siendo las manifestaciones contenidas en los términos de la oferta responsabilidad exclusiva del Usuario Oferente.

En ningún caso, Oleista será responsable de cualquier daño, perjuicio y/o defecto derivado del aceite de oliva objeto de la compraventa, de las eventuales inexactitudes y/o falsedades en la información que puedan evacuar los usuarios o del incumplimiento de las obligaciones que recaen sobre los usuarios derivadas de los presentes términos de uso o de los contratos de compraventa.

No obstante lo anterior, los Usuarios Registrados podrán remitir sus quejas en relación a cualquier otro usuario a la dirección de correo electrónico admin@oleista.com , encargándose Oleista de mediar en la resolución de los eventuales conflictos que pudieran producirse entre los Usuarios.

9.- Condiciones del Servicio de realización de análisis físico y químico

Por la presente, el usuario reconoce y acepta que, al contratar cualquiera de los paquetes analíticos de aceite de oliva ofrecidos en la página web http://oleista.com , está dando su consentimiento expreso para que Oleista transfiera toda la información y datos personales proporcionados a LABORATORIO AGROALIMENTARIO INDUSTRIAL SL (Indlab) con CIF. B06292460 y sede en POLIGONO INDUSTRIAL EL PABELLON, 6 PAR 1. 6380 Jerez de los Caballeros, Badajoz, España. Esta cesión de datos tiene como único fin posibilitar la ejecución de los servicios solicitados y está sujeta a las condiciones de confidencialidad y seguridad de la información estipuladas en nuestra Política de Privacidad. Oleista garantiza que la transferencia de datos se realiza en cumplimiento con la normativa vigente en materia de protección de datos personales.

Oleista no se hace responsable del envasado correcto, en caso de no cumplirlo y con la información indicada para que se pueda identificar al usuario. En cuyo caso no será posible el análisis de las mismas. En el caso anterior no se realizará la devolución del importe abonado por el análisis.

Legislación aplicable

Los presentes Términos y Condiciones se rigen por la ley española y se interpretarán en lengua española.

Las partes se someten para la resolución de los eventuales conflictos que puedan surgir en relación a su relación con Oleista, y con renuncia a cualquier otro fuero, a los juzgados y tribunales de Córdoba

A efectos ilustrativos, esta norma de resolución de conflictos y renuncia a fuero no afecta a los contratos de compraventa y a las relaciones que surjan entre comprador y vendedor y que son completamente ajenas a Oleista.

Modificación de las condiciones generales

Olesista se reserva el derecho a modificar los Términos y Condiciones sin previo aviso, pudiendo cambiar, suprimir o añadir tanto los contenidos y servicios que se presten a través del sitio web.

Estos cambios serán aceptados por el Usuario cada vez que hagan uso activo de los servicios ofrecidos a través de la plataforma.

Propiedad Industrial e Intelectual

Todos los contenidos mostrados, las marcas y nombre comerciales, tanto de carácter visual como de texto, mencionados en este sitio web son propiedad exclusiva de sus respectivos y legítimos propietarios.

No se podrá hacer uso alguno de ellos en ningún soporte sin la autorización explícita y por escrito del titular del Servicio para cada uno de los contenidos.

Terms of Use

The following are the Terms of Use (hereinafter referred to as the "Terms"), which govern the terms and conditions under which users are granted access to and/or use of the content and services offered through the oleista.com website (hereinafter referred to as the "Website"). This website serves as a platform to promote the buying and selling of virgin and extra virgin olive oil between buyers and sellers registered as users on the website by posting specific offers for the sale of batches of olive oil. The platform acts as an intermediary between sellers and buyers of the products. In the following, this platform and the services it offers are referred to as "OLEISTA."

Access to and/or use of Oleista and, where applicable, registration of the User on the Platform is entirely voluntary and confers the status of User on the User. From the moment of accessing the Website, each User accepts without reservation the contents of these Terms of Use, the Privacy Policy, the Cookie Policy and, where applicable, any specific conditions that may in any way supplement, replace or modify them in relation to the services and contents of the Website and the general conditions of the olive oil purchase and sale contracts to which the operations carried out through the Platform are subject. Consequently, the User must read them carefully before accessing and using Oleista's services (publication of offers for sale, purchase proposals, formalisation of purchase and sale operations), under his sole responsibility. The User may access, print, download and save the Terms of Use at any time.

Use of Oleista implies full acceptance of the terms contained in these Terms of Use as published at the time of accessing the Website. Oleista advises users that these Terms of Use are subject to change without notice. Therefore, the user should read this legal notice carefully each time he/she uses Oleista, as it may change.

In addition, Oleista reserves the right to modify, without prior notice, the design, presentation and/or configuration of this Website, as well as some or all of the Services, and to add new Services. In any case, Oleista reserves the right to deny access to this Website, at any time and without prior notice, to registered users who violate these General Terms of Use or the specific conditions applicable to them. This applies in particular to users who have breached their obligations arising from a transaction carried out through the platform without justifiable cause or who have not fulfilled their payment obligations for the intermediation services provided by the platform or any other service provided through it (advertising).

The use of certain services offered to users through Oleista may be made conditional on prior registration by the user completing the relevant user registration form, selecting the identifier and password and agreeing to keep them and use them with due care. For the purposes of these Terms of Use, a "Registered User" is any User who has completed the relevant User Registration on Oleista and can access the Registered Services offered by Oleista. In order to post offers for the sale of olive oil lots and to make purchase offers for published lots, it is in any case necessary to be a Registered User.

The use of the registered user's password is personal and cannot be transferred, even temporarily, to third parties. In this respect, the registered user must take the necessary measures to protect the password he/she has chosen and avoid its use by third parties. As a result, the Registered User is solely responsible for the use of his/her password, fully indemnifying Oleista. If the Registered User learns of or suspects the use of his/her password by third parties, he/she must inform Oleista as soon as possible so that appropriate measures can be taken.

The registration of users for the use of the services promoting the purchase and sale of bulk olive oil implies the full acceptance of these Terms of Use by the user making such registration (hereinafter the "Registered User"). If the User does not agree with all or part of these Terms of Use, he/she must refrain from using the Service.

Acceptance of these Terms of Use for Registered Users implies that the User: (i) has read, understood and comprehended the information contained herein; (ii) accepts the obligations contained herein; (iii) is of legal age; and (iv) has sufficient legal capacity to use the Service; (v) in the case of a legal entity, is represented by a person with sufficient authority to formalise the transactions promoted through the Platform.

The acceptance of these Terms of Use by the Registered User is a prior and indispensable condition for the User's registration and, therefore, for the use of the Services offered by Oleista.

The Service Provider reserves the right to make changes or updates at any time to the Terms of Use for the Services offered to Registered Users, which, once in force, must be accepted by the User in order to continue using the Service.

Any doubts regarding these Terms of Use and/or the operation of the Service itself may be clarified by the User by sending a request to the Service Provider at the following email address: admin@oleista.com.

1. Service Provider

Service Provider: The owner and operator of the Service and Platform is OLEISTA, S.L., with CIF B-72897705 and registered address Avda. Gran Capitán, No. 41, 1st Floor - D, Córdoba, Spain.

2. Conditions of access, use and registration

In order to use the services of the Oleista platform, with the exception of consulting the directory of affiliated companies, reading the articles published in the blog, viewing advertisements and simply visiting the website without any commercial purpose, it is necessary for the user to register in advance and expressly accept these Terms of Use, the Privacy Policy and the Biscuit Policy. The User’s registration for the Service is free of charge and is not conditional on the submission of offers to sell and/or buy or the formalisation of transactions by the User.

Upon registration on the Oleista Platform, the User will receive his/her "Username" and "Password"," which will be proposed by the User and validated by the Platform. The username and password must be kept secret and are used to verify the User's identity in order to allow access to the Platform and its Services.

The data entered by the User must be correct, up-to-date and truthful. The User is responsible for the safekeeping of his/her username and password and shall bear all damages and losses that may result from misuse, transfer, disclosure or loss. However, the User is obliged to inform Oleista immediately if he has reason to believe that his password has been or could be used without authorisation, in order to take appropriate measures. This notification shall be made by email to the address admin@oleista.com.

The User undertakes to use the Service in accordance with the law, morality, public order and these Terms of Use and not to use it for illegal acts, infringements of the rights of third parties or violations of legal regulations.

By way of illustration, the user agrees:

- Not to distribute, transmit or make available to third parties any information, element or content that constitutes unlawful or unfair advertising.

- Not to submit false, misleading or inaccurate information that could mislead recipients.

- Not to impersonate another user of the Service or provide account information or passwords to any third party.

Violation of the rules contained in these Terms of Use will result in the automatic, at least temporary, exclusion of the user from the platform.

By accepting the Terms of Use, the User agrees that his/her data will be included in Oleista's file and that the processing of such data will be carried out in accordance with the provisions of the Privacy Policy.

3.- Olive oil offers for sale

Registered users can post offers for sale of lots of bulk virgin olive oil, extra virgin olive oil or lampante olive oil on the platform by filling in the relevant form on the website. Offers for bottled extra virgin olive oil and virgin olive oil can also be published by filling in the relevant form.

Once the form with the details of the offer for sale has been filled in and submitted, Oleista will verify the information provided and, if necessary, contact the registered user offering the product in order to complete the information of the offer. In any case, the Offer will be published on the Platform within twenty-four (24) hours of the submission of the form, excluding Saturdays, Sundays and public holidays.

The offer for sale is published with all information provided by the registered user offering the product, who is solely responsible for the data contained in the offer information. Oleista is exempt from any responsibility regarding the falsity and/or inaccuracy of the data contained in the offer.

In this regard, the User is obliged to ensure that the information provided on the characteristics of the lots of olive oil offered is truthful and accurate.

When the offer is published, the name, company name or any other data that would allow the seller to be identified shall be omitted.

4.Procedure for buying and selling lots of olive oil

After publication of an offer and, where applicable, after obtaining samples as described in section 5 below (for lots of olive oil), users may submit offers to buy the published offer.

Both users, the buyer and the seller, remain anonymous at all times until they agree on a final price -and terms of sale.

2.Once both users have agreed on the final price and terms of sale, they will be informed of the identity of the other party before the contract is signed.

3.The identity of the users will be kept confidential and will not be disclosed to any third party without the express consent of the users.

Once an offer to buy an olive oil lot listed on the platform has been received, the selling user may either accept or reject the buying user's offer to buy. In the event of rejection, which may be justified by the selling user, the buying user may submit a counter-offer, which may be accepted or rejected by the selling user. In the event of rejection of the counter-offer, the buying user may not make any further counter-offers for the same batch of olive oil.

If the seller receives a purchase offer and it is not answered within 48 hours, Oleista deactivates the lot for sale. The seller can reactivate the lot.

In the event of acceptance of the offer or counter-offer, the platform shall send the buying user a notification of acceptance and a confirmation of the offer or counter-offer.

If the selling User and the buying User agree to the terms and conditions of the offer or counter-offer, both parties shall conclude electronically a purchase contract with the agreed special and general conditions, subject to the general conditions published on OLEISTA.

The purchase contract with its special and general conditions shall be signed electronically by the parties.

Unless otherwise agreed by the parties in the general conditions of the contract, the olive oil that is the subject of the contract will be collected by the buyer from the seller's facilities or, where applicable, from the place indicated by the seller, within a maximum period of twenty (20) calendar days following the signing of the contract.

Once the contract is formalised, the seller issues the invoice for the sales transaction and sends it to the buyer, who must pay the amount stated therein (price plus the corresponding VAT) within the agreed period. Unless otherwise agreed by the parties, the purchase price shall be paid by bank transfer OMF within the time limit set for the collection of the olive oil, and it cannot be collected until the seller has confirmed receipt of the price payment.

5.- Sample Management

Before making a possible offer or, where applicable, a counter-offer, the Buying User may request, via Oleista, that a sample of the olive oil offered by the Selling User be sent to him/her.

The cost of the sample management service is ten euros (€10.00) plus VAT per sample and must be paid to Oleista when you request the sample through the platform. Oleista will only provide the Sample Management Service once the Purchasing User has made payment for the Service. Once the cost of the Sample Management Service has been paid, the Platform will ship the Samples previously received from the Seller.

The Seller must send Oleista an initial sample of 2 litres after offering its olive oil lot for sale so that Oleista can activate the option for Buyers to request samples. The Seller shall bear the costs of transport, customs and other administrative expenses related to the shipment of the samples until they arrive at Oleista S.L.'s office. Oleista will advance payment for this service with the prior approval of the Seller and subsequently invoice the Seller accordingly.

The receipt of samples by the Purchasing User, as set forth above, does not constitute an obligation or commitment on the part of the Purchasing User. The Buying User is therefore free to make an offer and, where appropriate, a counter-offer on such terms and conditions as he deems appropriate based on his judgement of the actual characteristics of the olive oil offered.

6.- Delivery of the Goods

As soon as the seller has received payment of the price, he will make the olive oil that is the subject of the sale available for collection, as well as the documentation required by the regulations in force and two (2) sealed samples.

The collection of the olive oil and the payment of the oil are the responsibility of the buyer and, unless otherwise agreed in the special conditions, the transaction is subject to INCOTERM EXW (Ex Works). This means that the seller makes the goods available to the buyer in his warehouse and that the buyer assumes all costs and responsibilities from the moment the goods leave the warehouse.

Therefore, the buyer is responsible for organising the collection of the olive oil from the seller's facilities and for bearing the costs thereof.

Likewise, the buyer undertakes to inform the carrier appointed by him of the obligation to issue the CMR transport document that must accompany the goods during transport, together with the other necessary documents relating to the goods (AICA, delivery note, product delivery note) and the two sealed samples handed over to the buyer.

Once the goods are collected by the buyer, he/she is obliged to inspect them at the time of collection. If the buyer decides to carry out an analysis of the olive oil that is the subject of the sale and it turns out that it does not correspond to the characteristics offered, the buyer will have a period of five (5) days from the date of receipt of the olive oil to submit the corresponding claim to the seller.

The modalities and resolution of any discrepancies regarding the olive oil sold shall be at the discretion of the parties to the purchase contract. Oleista has nothing to do with these circumstances and shall not be liable for any possible breach of the obligations assumed by the parties to the purchase contract.

7.- Brokerage Commission

OLEISTA offers a simple and transparent commission structure for all our users. This commission applies exclusively to transactions successfully closed through our platform, according to the following commission table:

The milestone that gives rise to the accrual of the brokerage commission recognized by the users in favor of Oleista is the formalization of the appropriate olive oil sales contract. This is completely separate and independent from the payment obligation, any eventual non-fulfillment of the obligations assumed by either party of the sales contract, which in no way affects Oleista's right to receive the agreed commission from both the buyer and the seller as set out in these terms.

Oleista will issue and send the corresponding invoice for the appropriate amount to both the seller and the buyer within ten (10) days following the formalization date of the sales contract. The invoice must be paid within a maximum period of fifteen (15) business days from the date of dispatch.

The calculation of Oleista's commission will be carried out exclusively based on the amounts indicated in the intermediation contract signed on the platform, without taking into account any discrepancies that may occur during loading or collection.

8. Duties and Responsibilities of Oleista

Oleista is responsible for:

(i) the management of the Website, (ii) the management of the platform promoting the purchase and sale of Olive Oil, (iii) the management of samples, (iv) the drafting of the specific and general conditions of sale contracts for Olive Oil.

In exchange for these services, Oleista shall be entitled to the brokerage commission regulated in Section 7, which shall be recognised by the Users, and Oleista shall have the right to collect the same under the terms and conditions established.

Oleista is merely a platform offering the above-mentioned services, which correspond to the typical intermediary tasks involved in buying and selling olive oil. Oleista is not responsible for:

(i) the terms and conditions of the olive oil purchase and sale transactions mediated through the Platform; (ii) the defective performance or non-compliance with the obligations assumed by the parties to the olive oil purchase contract; and (iii) the ownership and characteristics of the olive oil offered by the Users through the Platform. The statements contained in the Offer Conditions are the sole responsibility of the User making the Offer.

In no event shall Oleista be liable for any damage, deterioration and/or defects resulting from the olive oil offered for sale, for any inaccuracies and/or untruths in the statements made by Users or for any failure to comply with the obligations Users have under these Terms of Use or the Purchase Agreements.

In no event shall Oleista be liable for any damage, deterioration and/or defects attributable to the olive oil for sale, for any inaccuracies and/or untruths in the information provided by Users or for any failure by Users to comply with their obligations under these Terms of Use or the Purchase Agreements.

However, registered Users may send their complaints about other Users to the email address admin@oleista.com and Oleista will take care of the arbitration of disputes between Users.

9.- The service terms for conducting physical and chemical analysis are as follows

By using this service, the user acknowledges and agrees that upon purchasing any olive oil analysis package from the website http://oleista.com, they expressly consent to Oleista transferring all provided information and personal data to LABORATORIO AGROALIMENTARIO INDUSTRIAL SL (Indlab), with tax identification number B06292460 and located at POLIGONO INDUSTRIAL EL PABELLON, 6 PAR 1, 6380 Jerez de los Caballeros, Badajoz, Spain. This data transfer is solely for facilitating the execution of the requested services and is subject to the confidentiality and information security conditions outlined in our Privacy Policy. Oleista ensures that the data transfer complies with current personal data protection regulations.

Oleista is not responsible for the correct packaging, in case of non-compliance and with the information provided to identify the user. In such cases, the analysis will not be possible. In the aforementioned case, there will be no refund of the amount paid for the analysis.

Applicable legislation

These General Terms and Conditions shall be governed by Spanish law and construed in accordance with Spanish language.

For the resolution of possible conflicts arising from their relationship with Oleista, the parties submit to the Courts and Tribunals of Córdoba, waiving any other jurisdiction.

By way of illustration, this conflict resolution rule and the waiver of jurisdiction shall have no effect on the contracts of sale and the relations between buyers and sellers, which are entirely independent of Oleista.

Modification of the General Conditions

Oleista reserves the right to modify the General Conditions without prior notice, modifying, removing or adding both the Content and the services offered through the Website.

These changes are accepted by the User each time he actively uses the services offered through the Platform.

Industrial and Intellectual Property

All content, trademarks and trade names, both visual and textual, displayed on this website are the exclusive property of their respective legal owners.

None of them may be used on any medium without the express and written permission of the owner of the respective service.
